THIS LIMITED HARDWARE WARRANTY CONTAINS IMPORTANT INFORMATION ABOUT YOUR RIGHTS AND OBLIGATIONS AS A PURCHASER OF THE MERINO MONO HEAT PUMP, INCLUDING LIMITATIONS AND EXCLUSIONS THAT MAY APPLY TO YOU. PLEASE READ IT CAREFULLY.

1. WHAT THIS LIMITED WARRANTY COVERS; PERIOD OF COVERAGE. Velma Energy Company d/b/a Merino Energy (“Merino Energy”), warrants to the original purchaser ("you") of the Merino Mono heat pump (the "Product") that the Product will be free from defects in materials and workmanship under normal residential use and service conditions for a period of one (1) year from the earlier of (a) the date of delivery of the Product to you, or (b) the date of installation of the Product (the "Warranty Period"). For purposes of this Limited Warranty, "original purchaser" means the first end-user purchaser of the Product, whether purchasing directly from Merino Energy or through an authorized third-party installer or distributor. This Limited Warranty is issued by Merino Energy as manufacturer and applies regardless of the channel through which the Product was purchased, provided purchase was made through Merino Energy or an authorized seller. This Limited Warranty is non-transferable and applies only to the original purchaser.

2. WHAT MERINO ENERGY WILL DO. If the Product fails to conform to this Limited Warranty during the Warranty Period, Merino Energy will, at its sole option, elect one of the following remedies:

3. Repair the defective Product or any defective component thereof, at no charge for parts or labor reasonably required to complete the repair; or

   2. Replace the defective Product or defective component with a new or refurbished product or component of equal or similar functionality, at Merino Energy's sole discretion. Merino Energy has no obligation to replace the Product with a newer model or a product with enhanced features or capabilities. If a direct replacement product or component is no longer available, Merino Energy may substitute a product or component of similar function.
   3. For on-site service, Merino Energy will cover reasonable parts costs but does not warrant or cover any third-party labor or service call fees unless expressly authorized in writing by Merino Energy in advance. The election of remedy under this Limited Warranty is at Merino Energy's sole discretion and constitutes your sole and exclusive remedy for any breach of this Limited Warranty.

To receive warranty service, you must provide proof of purchase from Merino Energy or an authorized seller, including the date of purchase. If proof of purchase cannot be provided, the Warranty Period will be deemed to have commenced on the date of manufacture of the Product as reflected in Merino Energy's records, which may affect your eligibility for warranty service. To be eligible for warranty service, the defect must manifest during the Warranty Period. You must provide Merino Energy with notice of any claimed defect within a reasonable time after discovery, and in any event no later than thirty (30) days after the defect first manifests.

3. INSTALLER AND RESELLER DISTINCTION. Authorized third-party installers and distributors ("Installers") are independent businesses and are not employees, agents, or representatives of Merino Energy. Installers are not authorized to modify, expand, or extend this Limited Warranty or to make any representations on behalf of Merino Energy regarding warranty coverage. Any warranty for installation services or labor is provided separately by the Installer through their own agreement and is solely the responsibility of the Installer. Merino Energy makes no representation and assumes no liability with respect to any warranty, guarantee, or commitment offered by an Installer regarding installation services, workmanship, or labor. Your engagement of any Installer is a transaction solely between you and the Installer.

4. HOW TO OBTAIN WARRANTY SERVICE. To make a claim under this Limited Warranty, you must: (a) contact Merino Energy by email at info@merinoenergy.com during the Warranty Period, describing the alleged defect in reasonable detail; (b) provide proof of purchase from Merino Energy or an authorized seller; and (c) comply with Merino Energy's return or service instructions. Merino Energy will have no warranty obligations with respect to a Product it determines, in its reasonable discretion after examination, to be an Ineligible Product (as defined in Section 5 below). You are responsible for all shipping costs for Products determined to be Ineligible Products.

5. WHAT THIS LIMITED WARRANTY DOES NOT COVER. This Limited Warranty does not apply to, and Merino Energy will have no warranty obligations with respect to, any of the following (each an "Ineligible Product" or "Ineligible Condition"): (a) damage or failure resulting from improper installation, including installation not performed in accordance with Merino Energy's installation guide or applicable local, state, or federal codes and regulations; (b) damage or failure caused by electrical issues, including use with a power supply other than a standard 120V electrical outlet, voltage fluctuations, power surges, or inadequate wiring; (c) operation of the Product outside the outdoor operating temperature range of 15F to 115F; (d) damage or failure resulting from misuse, abuse, neglect, or failure to follow the Product's user guide or installation instructions; (e) unauthorized modifications, alterations, or repairs performed by any party other than Merino Energy or a Merino Energy-authorized service provider; (f) normal wear and tear, including gradual reduction in efficiency or performance over time; (g) cosmetic damage, including scratches, dents, and broken or cracked components, where such damage does not affect the functional operation of the Product; (h) damage occurring during shipping that is not reported to Merino Energy or the carrier within five (5) business days of delivery; (i) use of the Product for commercial, non-residential, or industrial purposes; (j) damage caused by Acts of God, including but not limited to lightning, flood, hurricane, tornado, earthquake, or other events outside Merino Energy's reasonable control; (k) Products marked "sample," "not for resale," or sold "as is"; and (l) consumable parts, including filters, unless failure is due to a defect in materials or workmanship. Merino Energy strongly recommends that the Product be installed and serviced exclusively by qualified, licensed HVAC professionals. Use of unauthorized service providers may impair Product performance and will void this Limited Warranty.

6. DISCLAIMER OF IMPLIED WARRANTIES. EXCEPT AS EXPRESSLY SET FORTH IN THIS LIMITED WARRANTY, AND TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MERINO ENERGY DISCLAIMS ALL EXPRESS, IMPLIED, STATUTORY, AND OTHER WARRANTIES AND CONDITIONS WITH RESPECT TO THE PRODUCT, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MERINO ENERGY LIMITS THE DURATION OF ANY APPLICABLE IMPLIED WARRANTIES OR CONDITIONS TO THE DURATION OF THIS LIMITED WARRANTY. MERINO ENERGY MAKES NO WARRANTY OR REPRESENTATION THAT THE PRODUCT WILL ACHIEVE ANY PARTICULAR ENERGY SAVINGS, EFFICIENCY OUTCOMES, OR UTILITY COST REDUCTIONS. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF IMPLIED WARRANTIES, SO THE ABOVE EXCLUSION MAY NOT APPLY TO YOU.

7. LIMITATION OF DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL MERINO ENERGY BE LIABLE FOR ANY CONSEQUENTIAL, INCIDENTAL, INDIRECT, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES OF ANY KIND ARISING FROM OR RELATING TO THIS LIMITED WARRANTY OR THE PRODUCT, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOST PROFITS, LOSS OF USE, COST OF SUBSTITUTE GOODS OR SERVICES, OR PROPERTY DAMAGE, EVEN IF MERINO ENERGY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. MERINO ENERGY'S TOTAL CUMULATIVE LIABILITY ARISING FROM OR RELATED TO THIS LIMITED WARRANTY OR THE PRODUCT WILL NOT EXCEED THE ORIGINAL PURCHASE PRICE ACTUALLY PAID BY THE ORIGINAL PURCHASER FOR THE PRODUCT. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU.

8. GENERAL TERMS. (a) Governing Law. This Limited Warranty is governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws principles. (b) Jurisdiction. Any dispute arising under or relating to this Limited Warranty that is not resolved through the warranty claim process will be resolved in accordance with any dispute resolution provisions set forth in Merino Energy's then-current Terms of Use, available at merino-energy.com/legal. (c) Severability. If any provision of this Limited Warranty is held to be unenforceable or invalid, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect. (d) Entire Agreement. This Limited Warranty sets forth the entire warranty provided by Merino Energy with respect to the Product. No dealer, distributor, Installer, or other third party is authorized to alter, extend, or expand this Limited Warranty. (e) U.S. Only. This Limited Warranty applies only to Products purchased and used within the contiguous United States.

9. YOUR LEGAL RIGHTS. This Limited Warranty gives you specific legal rights. You may also have other legal rights that vary by state or jurisdiction. Some of the limitations and exclusions set forth in this Limited Warranty may not apply to you depending on applicable law.
